This Construction Change Order (the "Change Order") is issued for the project known as project_name (the "Project") and is between owner_name (the "Owner") and contractor_name (the "Contractor").

This Change Order modifies the original construction contract between the Parties (the "Original Contract") and, when executed by both Parties, becomes a part of and is subject to all terms and conditions of the Original Contract, except as specifically modified herein.


1. Description of Change

1.1 Scope of Change

The following changes to the Work are hereby authorized by this Change Order. Contractor shall perform the additional, modified, or deleted work described below in accordance with the terms of the Original Contract and this Change Order. A detailed description of the change, including all affected areas, specifications, materials, and methods, is set forth in the attached detailed description (Exhibit A to this Change Order).

1.2 Reason for Change

The reason for this Change Order is as follows (check all that apply): Owner-requested change to design or scope; unforeseen site conditions; design error or omission; code or regulatory requirement; value engineering; other. The specific reason and justification for this Change Order are described in Exhibit A.

1.3 Detailed Description

The detailed description of the changed work, including quantities, specifications, and methods, is set forth in Exhibit A to this Change Order. In the event of any conflict between this Change Order and Exhibit A, this Change Order shall control. Contractor shall not deviate from the description in Exhibit A without the prior written approval of Owner.

1.4 Drawings and Specifications

Any revised drawings, specifications, or plans associated with this Change Order are attached as Exhibit B. These revised documents shall be incorporated into the Original Contract and shall supersede any prior drawings or specifications to the extent of the change described herein.

2. Cost Impact

2.1 Change in Contract Price

The Contract Price established in the Original Contract shall be adjusted as follows as a result of this Change Order. The adjustment may be an increase, decrease, or no change, as indicated below. The cost breakdown supporting the adjustment is set forth in the attached cost breakdown (Exhibit C to this Change Order).

2.2 Cost Breakdown

The cost of this Change Order is based on the following: (a) direct labor costs, including labor rates and estimated hours; (b) materials costs, including quantities, unit prices, and suppliers; (c) equipment costs, including rental rates and durations; (d) subcontractor costs, if applicable; (e) overhead and profit markup as specified in the Original Contract; and (f) any other applicable costs. The detailed cost breakdown is set forth in Exhibit C.

2.3 Method of Cost Determination

The cost of this Change Order has been determined by one of the following methods (as indicated): (a) negotiated lump sum; (b) unit prices established in the Original Contract; (c) time and materials with an agreed-upon not-to-exceed amount; or (d) other method as agreed by the Parties. The method used and the supporting calculations are documented in Exhibit C.

2.4 Cumulative Impact

This Change Order, together with all prior Change Orders, results in the following cumulative adjustment to the Original Contract Price: the original Contract Price, plus all prior Change Order adjustments, plus this Change Order adjustment, equals the new total Contract Price. A summary of all Change Orders to date is set forth in the Change Order Log (Exhibit D).

3. Schedule Impact

3.1 Change in Completion Date

The Completion Date established in the Original Contract shall be adjusted as follows as a result of this Change Order. The adjustment may be an extension, reduction, or no change, as indicated below. The scheduling analysis supporting the adjustment is set forth in Exhibit E.

3.2 Schedule Analysis

The time impact of this Change Order has been analyzed in relation to the current project schedule and critical path. The analysis considers: (a) the estimated duration of the changed work; (b) the impact on other concurrent activities; (c) the impact on the critical path; (d) the availability of labor and materials; and (e) any weather or seasonal factors. The detailed schedule analysis is attached as Exhibit E.

3.3 Interim Milestones

If this Change Order affects any interim milestones or deadlines established in the Original Contract or the project schedule, the revised milestones are set forth below. All other milestones not specifically modified by this Change Order remain unchanged.

4. Effect on Contract

4.1 Contract Modification

Except as specifically modified by this Change Order, all terms and conditions of the Original Contract remain in full force and effect. This Change Order, when signed by both Parties, shall be deemed to be a part of the Original Contract and shall be binding upon the Parties and their respective successors and assigns.

4.2 Complete Change

This Change Order represents the complete and final agreement of the Parties regarding the change described herein. The cost and time adjustments set forth in this Change Order represent full and final compensation to Contractor for all direct costs, indirect costs, overhead, profit, time extensions, and any other impacts resulting from the change, whether foreseeable or not.

4.3 No Other Claims

By executing this Change Order, Contractor agrees that the cost and time adjustments set forth herein constitute full and complete compensation for the changed work and that Contractor waives any and all claims for additional compensation or time extensions arising from or related to this Change Order, except as specifically reserved herein.

4.4 Reservations

Any reservations by either Party regarding this Change Order shall be noted in the space provided below. If no reservations are noted, it shall be understood that this Change Order represents the complete agreement of the Parties regarding the change described herein.

5. Documentation

5.1 Required Documentation

The following documentation is attached to and incorporated into this Change Order: Exhibit A (Detailed Description of Change); Exhibit B (Revised Drawings and Specifications, if applicable); Exhibit C (Cost Breakdown); Exhibit D (Change Order Log); and Exhibit E (Schedule Analysis).

5.2 Photographs

If the change is necessitated by unforeseen site conditions, photographs documenting the conditions shall be attached to this Change Order. If the change involves demolition or removal of existing work, before-and-after photographs shall be provided.

5.3 Record Keeping

Contractor shall maintain detailed records of all labor, materials, equipment, and subcontractor costs associated with this Change Order, including daily reports, time sheets, material invoices, and equipment logs. Such records shall be made available to Owner upon request.

6. Payment

6.1 Payment Terms

Payment for this Change Order shall be made in accordance with the payment provisions of the Original Contract. If the change is priced on a time-and-materials basis, Contractor shall submit documentation of actual costs with each application for payment.

6.2 Retainage

Retainage on Change Order work shall be held at the same rate as specified in the Original Contract.

7. Warranty

All work performed under this Change Order shall be subject to the same warranty provisions as set forth in the Original Contract. The warranty period for changed work shall commence on the date of Substantial Completion of the Project or the date the changed work is completed, whichever is later.

8. Insurance

Contractor shall ensure that all insurance coverages required by the Original Contract extend to the work performed under this Change Order. If the change materially increases the scope or risk of the Work, Contractor shall increase insurance limits as appropriate and provide updated certificates of insurance.

9. Compliance

All work performed under this Change Order shall comply with applicable building codes, laws, regulations, and standards. If new permits or inspections are required as a result of this Change Order, Contractor shall obtain such permits and schedule such inspections at Contractor's expense (unless the cost is included in the Change Order price).

10. Dispute Resolution

Any dispute regarding this Change Order shall be resolved in accordance with the dispute resolution provisions of the Original Contract. If the Parties are unable to agree on the cost or time impact of a change before the work is performed, Contractor shall proceed with the work as directed by Owner, and the dispute shall be resolved after the work is completed.

11. Authorization

This Change Order is not valid or effective until signed by both the Owner and the Contractor. Work on the changed scope shall not commence until this Change Order has been fully executed by both Parties. Any work performed by Contractor before this Change Order is fully executed is performed at Contractor's own risk and may not be compensable.

By signing below, the Parties authorize the changes described in this Change Order and agree to the cost and schedule adjustments set forth herein.
