Equipment Rental Agreement

This Equipment Rental Agreement (this "Agreement") is entered into as of effective_date (the "Effective Date") by and between:

owner_name ("Owner"); and

renter_name ("Renter").

1. Equipment

1.1 Description

Owner agrees to rent to Renter, and Renter agrees to rent from Owner, the following equipment (the "Equipment"):

Condition at Delivery: [Describe condition — new, used/good, refurbished, etc.]

1.2 Accessories and Attachments

The following accessories and attachments are included with the Equipment: [list accessories, manuals, cables, carrying cases, or "None"]. Renter shall return all included accessories and attachments with the Equipment at the end of the rental period.

2. Rental Period

The rental period shall commence on start_date and shall end on end_date (the "Rental Period"), unless extended by mutual written agreement. Renter may request an extension of the Rental Period by providing Owner with at least five (5) business days written notice prior to the scheduled end date. Owner may approve or deny extension requests at its discretion.

3. Rental Fees and Payment

3.1 Rental Rate

Renter shall pay Owner a rental rate of rental_rate (rental_period) for the use of the Equipment (the "Rental Fee"). The first Rental Fee payment is due upon execution of this Agreement. Subsequent payments are due on the first day of each subsequent rental period.

3.2 Security Deposit

Renter shall pay a security deposit of security_deposit upon execution of this Agreement. The security deposit shall be refunded within fifteen (15) days following the return of the Equipment in acceptable condition, less any amounts deducted for damage, excessive wear, cleaning, late return, or unpaid fees.

3.3 Late Fees

Rental payments received more than five (5) days after the due date shall be subject to a late fee of $25 or 5% of the overdue amount, whichever is greater.

3.4 Late Return

If the Equipment is not returned by the end of the Rental Period, Renter shall pay an additional daily rental fee equal to the Rental Fee divided by thirty (30) for each day the Equipment is late, until the Equipment is returned.

4. Delivery and Return

4.1 Delivery

The Equipment shall be delivered to or picked up at: delivery_location. Owner and Renter shall conduct a joint inspection of the Equipment at the time of delivery and document the condition in writing (the "Delivery Inspection Report").

4.2 Return

At the end of the Rental Period, Renter shall return the Equipment to the delivery location in the same condition as received, reasonable wear and tear excepted. Owner and Renter shall conduct a joint return inspection and document the condition in writing (the "Return Inspection Report").

5. Use and Care of Equipment

5.1 Permitted Use

Renter shall use the Equipment only for its intended purpose and in accordance with the manufacturer's operating instructions and guidelines. Renter shall not modify, alter, or tamper with the Equipment without Owner's prior written consent.

5.2 Operator Requirements

Renter shall ensure that only qualified and trained personnel operate the Equipment. Renter shall comply with all applicable laws, regulations, and safety requirements relating to the use of the Equipment.

5.3 Location

The Equipment shall remain at the delivery location or such other location as approved by Owner in writing. Renter shall not move or transport the Equipment outside of the approved location without Owner's prior written consent.

6. Maintenance and Repairs

6.1 Renter's Responsibilities

Renter shall be responsible for: (a) routine maintenance and care of the Equipment (e.g., cleaning, lubrication, basic adjustments as recommended by the manufacturer); (b) ensuring the Equipment is stored in a secure, clean, and appropriate environment; and (c) promptly notifying Owner of any malfunction, damage, or maintenance needs.

6.2 Owner's Responsibilities

Owner shall be responsible for: (a) ensuring the Equipment is in good working condition at the time of delivery; (b) repairs necessitated by normal wear and tear (excluding damage caused by Renter's misuse or negligence); and (c) providing manufacturer's operating manuals and safety instructions.

7. Damage, Loss, and Liability

7.1 Renter's Liability

Renter shall be liable for all damage to, loss of, or theft of the Equipment during the Rental Period, except for damage caused by normal wear and tear or by defects in the Equipment existing at the time of delivery. In the event of total loss or theft, Renter shall pay Owner the Equipment's estimated value of equipment_value, less any security deposit held by Owner.

7.2 Indemnification

Renter shall indemnify, defend, and hold harmless Owner from any claims, damages, losses, or expenses arising out of Renter's use, possession, or operation of the Equipment, including personal injury, property damage, or environmental damage.

8. Insurance

Renter shall maintain, at Renter's expense, adequate insurance coverage for the Equipment during the Rental Period, including: (a) property insurance covering loss, damage, or theft of the Equipment for its full replacement value; and (b) commercial general liability insurance of at least $1,000,000 per occurrence. Renter shall name Owner as an additional insured and loss payee and provide certificates of insurance prior to taking possession of the Equipment.

9. Ownership

The Equipment is and shall remain the sole property of Owner. This Agreement does not grant Renter any ownership interest in the Equipment. Renter shall not pledge, lien, encumber, or permit any claim against the Equipment. Renter shall keep the Equipment free from any liens or claims by third parties.

10. Termination

Either Party may terminate this Agreement upon ten (10) days written notice. Upon early termination: (a) Renter shall return the Equipment promptly; (b) Renter shall pay all Rental Fees accrued through the return date; and (c) any prepaid Rental Fees for periods after the return date shall be refunded, less any amounts owed for damage or late fees.

11. General Provisions

(a) Governing Law: This Agreement shall be governed by the laws of the State of governing_state.

(b) Entire Agreement: This Agreement constitutes the entire agreement between the Parties regarding the Equipment rental.

(c) Amendments: This Agreement may only be amended by written instrument signed by both Parties.

(d) Severability: If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

IN WITNESS WHEREOF, the Parties have executed this Equipment Rental Agreement as of the Effective Date.
