Non-binding framework agreement establishing mutual cooperation, roles, responsibilities, and timeline between parties.

Memorandum of Understanding

This Memorandum of Understanding (this "MOU") is entered into as of effective_date (the "Effective Date") by and between:

party_a_name ("Party A"); and

party_b_name ("Party B").

Party A and Party B are each referred to herein as a "Party" and collectively as the "Parties."


1. Purpose

The purpose of this MOU is to establish a framework for cooperation between the Parties regarding: purpose.

This MOU sets forth the Parties' mutual understanding of their respective roles, responsibilities, and commitments. It is intended to facilitate collaboration and coordination between the Parties in good faith.

2. Background

Party A is [brief description of Party A — what they do, their relevant capabilities or resources].

Party B is [brief description of Party B — what they do, their relevant capabilities or resources].

The Parties have identified an opportunity to [describe the opportunity or initiative], and wish to explore and develop this opportunity through a collaborative approach.

3. Scope of Cooperation

The Parties agree to cooperate in the following areas:

4. Roles and Responsibilities

4.1 Party A Responsibilities

Party A shall:

4.3 Joint Responsibilities

Both Parties shall jointly:

(a) Establish a steering committee with equal representation from both Parties;

(b) Meet regularly (at least quarterly) to review progress and address issues;

(c) Share relevant information and data to support the cooperation activities;

(d) Maintain open and transparent communication regarding the status of initiatives; and

(e) Collaborate in good faith to resolve any disagreements or disputes.

5. Timeline and Milestones

The Parties anticipate the following timeline for key milestones:

These milestones are indicative and may be adjusted by mutual agreement of the Parties.

6. Financial Arrangements

Each Party shall bear its own costs and expenses incurred in connection with the activities contemplated by this MOU, unless otherwise agreed in writing. Any joint funding requirements for specific projects or initiatives shall be documented in separate written agreements specifying the amount, timing, and purpose of the funding.

7. Confidentiality

Each Party agrees to maintain the confidentiality of any proprietary or sensitive information shared by the other Party in connection with this MOU. Confidential information shall not be disclosed to third parties without the prior written consent of the disclosing Party. This obligation shall survive the termination of this MOU for a period of two (2) years.

8. Intellectual Property

Each Party retains ownership of its pre-existing intellectual property. Any intellectual property created jointly by the Parties shall be owned as mutually agreed and documented in a separate written agreement prior to commencement of the relevant work.

9. Duration and Termination

This MOU shall be effective for a period of duration from the Effective Date. Either Party may terminate this MOU at any time by providing thirty (30) days written notice to the other Party. Termination shall not affect any rights or obligations that have accrued prior to the effective date of termination, including confidentiality obligations.

10. Non-Binding Nature

THIS MOU IS NOT INTENDED TO BE LEGALLY BINDING OR TO CREATE ANY LEGALLY ENFORCEABLE OBLIGATIONS BETWEEN THE PARTIES, except for Sections 7 (Confidentiality), 8 (Intellectual Property), and 10 (Non-Binding Nature), which are intended to be binding.

This MOU does not create a partnership, joint venture, agency, or employment relationship between the Parties. Neither Party has the authority to bind the other Party in any manner.

The Parties understand that the activities described herein are subject to the availability of resources and the execution of separate binding agreements as needed.

11. Dispute Resolution

Any disputes arising under this MOU shall be resolved through good-faith negotiation between designated representatives of the Parties. If the dispute cannot be resolved within thirty (30) days, the Parties may agree to engage a neutral mediator to facilitate resolution.

12. General Provisions

(a) Governing Law: This MOU shall be governed by the laws of the State of governing_state.

(b) Amendments: This MOU may only be amended by written instrument signed by both Parties.

(c) No Assignment: Neither Party may assign this MOU without the prior written consent of the other Party.

(d) Entire Understanding: This MOU represents the complete understanding between the Parties regarding the cooperation described herein.

(e) Severability: If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

(f) Counterparts: This MOU may be executed in counterparts, each of which shall be deemed an original.
