1. Appointment of Agent

I, principal_name ("Principal"), of [Principal's Address], hereby appoint agent_name ("Agent" or "Attorney-in-Fact"), of [Agent's Address], as my true and lawful attorney-in-fact to act on my behalf in the matters described in this Power of Attorney.

2. Grant of Authority

2.1 Scope of Authority

Principal grants Agent the authority to act on Principal's behalf in the following matters: scope_description.

2.2 Specific Powers

Without limiting the general authority granted above, Agent is specifically authorized to:

(a) Execute, acknowledge, and deliver any documents, instruments, or agreements related to the matters described in Section 2.1;

(b) Negotiate terms and conditions on Principal's behalf;

(c) Access relevant financial accounts and records as necessary to carry out the authorized actions;

(d) Engage attorneys, accountants, and other professionals as reasonably necessary;

(e) Receive and process correspondence, notices, and communications on Principal's behalf;

(f) Take any and all actions that may be necessary, proper, or convenient to carry out the purposes of this Power of Attorney.

2.3 Limitations

Notwithstanding the foregoing, Agent shall NOT have the authority to:

(a) Make gifts of Principal's property or assets;

(b) Amend or revoke any trust agreement to which Principal is a party;

(c) Designate or change beneficiaries of any insurance policy, retirement account, or estate planning document;

(d) Create, amend, revoke, or terminate any will or codicil;

(e) Exercise any power that is required by law to be exercised by Principal personally; or

(f) Delegate the authority granted under this Power of Attorney to any other person.

3. Duration

3.1 Effective Period

This Power of Attorney shall become effective on effective_date and shall remain in effect until expiration_date, unless sooner revoked as provided in Section 4.

3.2 Non-Durable

This Power of Attorney is NOT a durable power of attorney. It shall automatically terminate upon Principal's incapacity or disability. If Principal desires a durable power of attorney that survives incapacity, a separate durable power of attorney should be executed in accordance with applicable state law.

4. Revocation

Principal may revoke this Power of Attorney at any time by providing written notice of revocation to Agent. Revocation shall be effective upon Agent's receipt of the written notice. Principal should also provide notice of revocation to any third parties who may have relied upon this Power of Attorney. Upon revocation, Agent shall immediately cease all activities authorized under this Power of Attorney and return all documents and property of Principal in Agent's possession.

5. Agent's Duties

Agent accepts this appointment and agrees to: (a) act in good faith and in the best interests of Principal at all times; (b) exercise reasonable care, competence, and diligence in carrying out the authorized actions; (c) keep Principal's property and finances separate from Agent's own; (d) maintain accurate records of all transactions and actions taken on Principal's behalf; (e) provide Principal with periodic reports and accountings as reasonably requested; and (f) comply with all applicable laws.

6. Compensation and Expenses

Agent shall serve without compensation unless otherwise agreed in writing by Principal and Agent. Agent shall be reimbursed for all reasonable out-of-pocket expenses incurred in connection with the proper exercise of the authority granted under this Power of Attorney, provided Agent maintains receipts and records of such expenses.

7. Third-Party Reliance

Any third party who relies in good faith on this Power of Attorney shall be fully protected and shall incur no liability to Principal, Agent, or any other person for actions taken in reliance on this Power of Attorney. Any third party may request Agent to provide an affidavit confirming that this Power of Attorney has not been revoked, and Agent shall provide such affidavit if true.

8. Indemnification

Principal shall indemnify and hold harmless Agent from any claims, damages, or expenses arising out of Agent's good-faith performance of the duties authorized under this Power of Attorney, provided that Agent has not acted negligently or in bad faith.

9. Governing Law

This Power of Attorney shall be governed by and construed in accordance with the laws of the State of governing_state.

10. Severability

If any provision of this Power of Attorney is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
