Vehicle Bill of Sale
This Vehicle Bill of Sale (this "Bill of Sale") is entered into as of the date of the last signature below, by and between:
seller_name (the "Seller"); and
buyer_name (the "Buyer").
The Seller and Buyer are each referred to herein as a "Party" and collectively as the "Parties."
1. Vehicle Description
The Seller hereby sells, transfers, and conveys to the Buyer the following described motor vehicle (the "Vehicle"):

Vehicle Identification Number (VIN): vin_number
The Seller represents that the above information accurately describes the Vehicle being sold. Any accessories, modifications, or additional equipment included in the sale are described in this section or in a written addendum attached to this Bill of Sale.
2. Odometer Disclosure
The Seller certifies that the odometer reading at the time of sale is _______________ miles/kilometers. The Seller further certifies, to the best of the Seller's knowledge, that: (check one)
[ ] The odometer reading reflects the actual mileage of the Vehicle.
[ ] The odometer reading reflects the amount of mileage in excess of the mechanical limits of the odometer.
[ ] The odometer reading is NOT the actual mileage. WARNING — The odometer reading is known to be different from the number of miles the Vehicle has actually traveled.
The Seller acknowledges that federal and state law requires accurate odometer disclosure and that misrepresentation of the odometer reading is a violation of federal and state law, subject to criminal and civil penalties.
3. Sale Price and Payment
3.1 Purchase Price
The Buyer agrees to purchase the Vehicle from the Seller for a total sale price of sale_price (the "Purchase Price" or "Sale Price"). The Purchase Price represents the full and complete consideration for the sale and transfer of the Vehicle.
3.2 Payment Method
The Buyer shall pay the Purchase Price to the Seller by one of the following methods: cash, certified check, cashier's check, money order, wire transfer, or such other method as mutually agreed upon by the Parties. Personal checks shall not be accepted unless specifically agreed to in writing by the Seller.
3.3 Payment Terms
The full Purchase Price shall be paid at the time of execution of this Bill of Sale, unless the Parties have entered into a separate written payment agreement. The Seller shall not be obligated to transfer title or deliver the Vehicle until the full Purchase Price has been received and verified.
If payment is made by check or money order, the Seller may retain the Vehicle and title documents until the payment instrument has cleared. The Buyer bears all risk of payment instrument failure.
4. As-Is Sale
4.1 As-Is Condition
THE VEHICLE IS SOLD "AS IS" AND "WHERE IS," WITH ALL FAULTS AND DEFECTS, WHETHER KNOWN OR UNKNOWN, LATENT OR PATENT. THE SELLER MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE VEHICLE'S CONDITION, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR SUITABILITY FOR THE BUYER'S INTENDED USE.
4.2 Buyer's Acknowledgment
The Buyer acknowledges that the Buyer has had the opportunity to inspect the Vehicle and to obtain an independent mechanical inspection prior to purchase. The Buyer accepts the Vehicle in its current condition and assumes all risk of any defects, whether known or unknown, that may exist at the time of sale.
The Buyer further acknowledges that any verbal representations made by the Seller regarding the Vehicle's condition, history, or performance are not part of this Bill of Sale and are not binding on the Seller. Only written representations included in this Bill of Sale shall be enforceable.
4.3 No Guarantees
The Seller does not guarantee or warrant that the Vehicle will pass any state safety inspection or emissions test. The Buyer is solely responsible for ensuring that the Vehicle meets all applicable registration, inspection, and emissions requirements in the Buyer's jurisdiction.
5. Title Transfer
5.1 Certificate of Title
The Seller shall deliver to the Buyer a duly executed certificate of title (or equivalent document) for the Vehicle, properly endorsed for transfer to the Buyer. The Seller shall complete all required fields on the title document, including odometer disclosure, sale price, and transfer information.
5.2 Liens and Encumbrances
The Seller represents and warrants that the Vehicle is free and clear of all liens, encumbrances, security interests, claims, and demands of any kind, and that the Seller has good and marketable title to the Vehicle with full right and authority to sell and transfer the same.
If any lien or encumbrance is discovered after the sale, the Seller shall be solely responsible for satisfying such lien and shall indemnify the Buyer against any loss, cost, or expense arising therefrom.
5.3 Registration and Transfer
The Buyer shall be responsible for registering the Vehicle in the Buyer's name and paying all applicable registration fees, title transfer fees, sales tax, and other governmental charges. The Buyer shall complete the registration transfer within the time period required by applicable law.
The Seller shall cooperate with the Buyer in completing any documents necessary to effectuate the transfer of title and registration, including executing any state-required transfer forms, emissions certificates, or damage disclosure statements.
6. Risk of Loss
Risk of loss and damage to the Vehicle shall pass from the Seller to the Buyer upon delivery of the Vehicle to the Buyer or the Buyer's designated agent. Until delivery, the Seller shall maintain the Vehicle in substantially the same condition as described in this Bill of Sale.
7. Warranties Disclaimed
THE SELLER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE (EXCEPT AS EXPRESSLY STATED IN SECTION 5.2), AND NON-INFRINGEMENT. THE BUYER ACKNOWLEDGES THAT NO WARRANTY HAS BEEN MADE BY THE SELLER REGARDING THE VEHICLE.
The Buyer waives any and all claims against the Seller for defects in the Vehicle, whether known or unknown at the time of sale, except for claims based on fraud or intentional misrepresentation by the Seller. This waiver shall survive the closing of the transaction.
8. Indemnification
The Buyer shall indemnify and hold harmless the Seller from and against any and all claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from the Buyer's ownership, use, operation, maintenance, or possession of the Vehicle after the date of sale.
The Seller shall indemnify and hold harmless the Buyer from and against any and all claims, liabilities, damages, costs, and expenses arising from undisclosed liens, encumbrances, or the Seller's ownership or use of the Vehicle prior to the date of sale.
9. Governing Law
This Bill of Sale shall be governed by and construed in accordance with the laws of the state in which the transaction takes place. Any disputes arising under this Bill of Sale shall be resolved in the courts of competent jurisdiction in such state.
10. General Provisions
10.1 Entire Agreement
This Bill of Sale constitutes the entire agreement between the Parties with respect to the sale of the Vehicle and supersedes all prior negotiations, representations, and agreements.
10.2 Amendments
This Bill of Sale may be amended only by a written instrument signed by both Parties.
10.3 Severability
If any provision of this Bill of Sale is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
10.4 Counterparts
This Bill of Sale may be executed in counterparts, each of which shall be deemed an original. Electronic signatures shall be deemed original signatures for all purposes.
