Cleaning Services Agreement

Comprehensive cleaning services contract covering scope by area, cleaning frequency, supplies, insurance, key and alarm access, quality standards, payment terms, and cancellation provisions.

Cleaning Services Agreement

This Cleaning Services Agreement (this "Agreement") is entered into as of effective_date (the "Effective Date") by and between:

client_name (the "Client"); and

provider_name (the "Provider").

The Client and Provider are each referred to herein as a "Party" and collectively as the "Parties."


1. Services and Scope

1.1 Property

The Provider shall perform cleaning services at the following property: property_address (the "Property"). The Provider shall not perform services at any other location without the prior written consent of the Client.

1.2 General Scope of Services

The Provider shall perform professional cleaning services at the Property in accordance with the scope, frequency, and standards described in this Agreement. The services shall include routine cleaning, deep cleaning, and such additional services as may be requested by the Client and agreed upon by the Provider.

1.3 Common Areas

The Provider shall clean all common areas of the Property, including but not limited to: (a) reception areas and lobbies — vacuuming or mopping floors, dusting furniture and fixtures, cleaning glass doors and windows, emptying trash receptacles, and cleaning reception desks; (b) hallways and corridors — vacuuming or mopping floors, dusting baseboards and trim, cleaning light fixtures, and removing cobwebs; (c) stairwells — sweeping and mopping stairs, cleaning handrails, and dusting landings; and (d) elevator interiors — cleaning floors, walls, and control panels.

1.4 Office Spaces

The Provider shall clean all office spaces, including private offices, open workstations, and cubicles, including: (a) vacuuming carpeted floors or mopping hard floors; (b) dusting desks, tables, chairs, and other furniture surfaces; (c) dusting and wiping computer monitors, keyboards, and phones (exterior surfaces only); (d) emptying trash cans and recycling bins and replacing liners; (e) cleaning interior glass partitions and doors; and (f) dusting window sills, blinds, and shelving.

1.5 Restrooms

The Provider shall thoroughly clean and sanitize all restrooms, including: (a) cleaning and disinfecting toilets, urinals, and sinks; (b) cleaning mirrors and glass surfaces; (c) refilling soap dispensers, paper towel dispensers, and toilet paper holders with supplies provided by the Client; (d) mopping and disinfecting floors; (e) cleaning partitions, walls, and door handles; (f) emptying trash cans; and (g) reporting any plumbing issues or needed repairs to the Client.

1.6 Kitchen and Break Rooms

The Provider shall clean all kitchen and break room areas, including: (a) wiping countertops, tables, and chairs; (b) cleaning the exterior of appliances (refrigerator, microwave, coffee maker); (c) cleaning and disinfecting sinks; (d) mopping floors; (e) emptying trash and recycling bins; and (f) cleaning interior of microwave and refrigerator as specified in the cleaning schedule.

1.7 Conference Rooms

The Provider shall clean all conference and meeting rooms, including: (a) vacuuming or mopping floors; (b) wiping tables, chairs, and credenzas; (c) cleaning whiteboards (dry erase only, unless otherwise instructed); (d) dusting AV equipment (exterior only); (e) emptying trash; and (f) arranging furniture to its standard configuration after cleaning.

1.8 Windows

The Provider shall clean interior windows and glass surfaces on a monthly basis. Exterior window cleaning shall be performed quarterly or as otherwise agreed upon in writing. The Provider shall use appropriate cleaning products and techniques that do not damage window surfaces, tinting, or frames.


2. Cleaning Frequency and Schedule

2.1 Regular Cleaning

The Provider shall perform regular cleaning services at the Property on the following schedule: Monday through Friday (or as otherwise agreed in writing), with cleaning to be performed after normal business hours unless otherwise specified. The specific days and times of service shall be agreed upon by the Parties and documented in a Cleaning Schedule addendum to this Agreement.

2.2 Deep Cleaning

In addition to regular cleaning, the Provider shall perform deep cleaning services on a quarterly basis (or as otherwise agreed). Deep cleaning includes, but is not limited to: (a) carpet shampooing or steam cleaning; (b) stripping and waxing hard floors; (c) cleaning behind and under furniture and appliances; (d) detailed dusting of all surfaces, including high areas, vents, and light fixtures; (e) deep cleaning of upholstery; and (f) cleaning of interior and exterior windows.

2.3 Special Requests

The Client may request additional cleaning services beyond the regular scope, including but not limited to: post-event cleanup, move-in/move-out cleaning, construction cleanup, or emergency cleaning. The Provider shall use commercially reasonable efforts to accommodate such requests, subject to scheduling availability. Additional services shall be billed at the rates specified in Section 5 or as mutually agreed upon in writing.

2.4 Holiday Schedule

The Provider shall not be required to provide cleaning services on the following holidays: New Year's Day, Memorial Day, Independence Day, Labor Day, Thanksgiving Day, and Christmas Day. If a regularly scheduled cleaning day falls on a holiday, the Provider shall perform the missed cleaning on the next available business day or as otherwise agreed by the Parties.


3. Supplies and Equipment

3.1 Provider's Supplies

Unless otherwise agreed in writing, the Provider shall furnish all cleaning supplies, chemicals, and equipment necessary to perform the services described in this Agreement. All supplies and equipment shall be of professional grade and suitable for the surfaces and materials present at the Property.

3.2 Client's Supplies

The Client shall provide consumable restroom supplies, including toilet paper, paper towels, hand soap, and trash can liners, unless the Parties agree in writing that the Provider shall supply such items (in which case the cost shall be added to the monthly fee or billed separately).

3.3 Green Cleaning

The Provider shall use environmentally friendly, non-toxic cleaning products whenever possible, consistent with effective cleaning results. If the Client has specific requirements for green or eco-friendly products, such requirements shall be documented in writing and the Provider shall comply, provided that any incremental cost is approved by the Client.

3.4 Equipment Maintenance

The Provider shall maintain all cleaning equipment in good working condition and shall replace equipment as necessary. The Provider shall not store cleaning equipment or supplies on the Property without the Client's consent. If storage space is provided by the Client, the Provider shall maintain the storage area in a clean and organized condition.


4. Insurance and Liability

4.1 Insurance Requirements

The Provider shall maintain, at its own expense, the following insurance coverage throughout the term of this Agreement: (a) commercial general liability insurance with minimum limits of $1,000,000 per occurrence and $2,000,000 in the aggregate; (b) workers' compensation insurance as required by applicable law; (c) commercial automobile liability insurance (if applicable) with minimum limits of $1,000,000 per accident; and (d) umbrella or excess liability insurance with minimum limits of $1,000,000.

4.2 Certificates of Insurance

The Provider shall furnish the Client with certificates of insurance evidencing the required coverage prior to the commencement of services and upon each renewal of such coverage. The Client shall be named as an additional insured under the Provider's commercial general liability policy. The Provider shall provide the Client with at least thirty (30) days' written notice of any cancellation or material change in coverage.

4.3 Damage to Property

The Provider shall be responsible for any damage to the Client's property caused by the Provider's employees, agents, or subcontractors in the performance of services under this Agreement. The Provider shall promptly report any damage to the Client and shall repair or replace damaged property at the Provider's expense.

4.4 Indemnification

The Provider shall indemnify, defend, and hold harmless the Client and its officers, directors, employees, agents, and representatives from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to: (a) the Provider's performance of services under this Agreement; (b) any injury to persons or damage to property caused by the Provider or its personnel; (c) any breach of this Agreement by the Provider; or (d) any negligent or willful act or omission of the Provider or its personnel.


5. Compensation and Payment

5.1 Monthly Fee

The Client shall pay the Provider a monthly fee of monthly_fee (the "Monthly Fee") for the regular cleaning services described in this Agreement. The Monthly Fee shall be invoiced on the first business day of each month and shall be due and payable within fifteen (15) days of the invoice date.

5.2 Additional Services

Additional services requested by the Client beyond the scope of the regular cleaning services shall be billed at the Provider's then-current hourly rates or at a flat fee agreed upon by the Parties in writing prior to the performance of such services. Invoices for additional services shall be submitted within fifteen (15) days of the completion of such services.

5.3 Payment Method

Payment shall be made by check, ACH transfer, or credit card, as agreed by the Parties. The Client shall notify the Provider of any disputed charges within ten (10) days of receipt of the invoice. Undisputed charges not paid within thirty (30) days of the due date shall accrue interest at the rate of one and one-half percent (1.5%) per month.

5.4 Fee Adjustment

The Provider may adjust the Monthly Fee upon thirty (30) days' written notice to the Client. Fee adjustments shall not exceed five percent (5%) per year unless the scope of services is materially changed. The Client may reject any fee increase and terminate this Agreement upon thirty (30) days' written notice.


6. Keys, Access, and Alarm Codes

6.1 Access

The Client shall provide the Provider with the keys, access cards, alarm codes, and other access credentials necessary to enter the Property and perform the services described in this Agreement. The Provider shall safeguard all access credentials and shall not duplicate keys or access cards without the Client's prior written consent.

6.2 Security Procedures

The Provider shall arm the security alarm system and lock all doors upon completion of cleaning each day, in accordance with the Client's security procedures. The Provider shall immediately report any security concerns, including lost keys, forgotten alarm codes, or signs of unauthorized entry, to the Client.

6.3 Restricted Areas

The Client may designate certain areas of the Property as restricted. The Provider's personnel shall not enter restricted areas without the Client's prior authorization. The Client shall clearly mark or communicate restricted areas to the Provider.

6.4 Return of Access Credentials

Upon termination of this Agreement, the Provider shall return all keys, access cards, and other access credentials to the Client within two (2) business days. The Client may change locks and alarm codes at the Provider's expense if access credentials are not returned timely.


7. Quality Standards and Inspections

7.1 Quality Standards

The Provider shall perform all services in a professional, thorough, and workmanlike manner, consistent with industry standards for commercial cleaning services. The Provider shall use trained and experienced personnel who are capable of performing the required services to a high standard of quality.

7.2 Inspections

The Client or the Client's representative may conduct inspections of the Property at any time to evaluate the quality of the Provider's cleaning services. The Provider shall cooperate with and participate in such inspections upon reasonable notice.

7.3 Quality Complaints

If the Client is dissatisfied with the quality of any cleaning service, the Client shall notify the Provider in writing within two (2) business days of the service date. The Provider shall re-clean the affected areas within twenty-four (24) hours of receiving the complaint at no additional charge.

7.4 Quality Improvement

If the Client identifies a pattern of quality deficiencies, the Parties shall meet to discuss the issues and develop a corrective action plan. Persistent quality deficiencies that are not remedied within a reasonable period may constitute a material breach of this Agreement.


8. Personnel

8.1 Provider's Employees

All cleaning personnel shall be employees or authorized subcontractors of the Provider. The Provider shall be solely responsible for the hiring, training, supervision, compensation, and termination of its personnel. The Provider's personnel are not employees of the Client.

8.2 Background Checks

The Provider shall conduct criminal background checks on all personnel who will have access to the Property, prior to such personnel performing any services at the Property. The Provider shall not assign any person to the Property who has a criminal history that could pose a risk to the Client's property or personnel.

8.3 Conduct

The Provider's personnel shall conduct themselves in a professional and courteous manner at all times while on the Property. The Provider's personnel shall not use, possess, or be under the influence of alcohol or illegal drugs while on the Property. The Provider shall promptly remove any personnel who the Client reasonably requests to be removed.


9. Term and Termination

9.1 Initial Term

This Agreement shall have an initial term of twelve (12) months, commencing on the Effective Date. Upon expiration of the initial term, this Agreement shall automatically renew for successive twelve (12) month periods, unless either Party provides written notice of non-renewal at least thirty (30) days before the end of the then-current term.

9.2 Termination for Convenience

Either Party may terminate this Agreement at any time by providing the other Party with thirty (30) days' written notice. In the event of termination for convenience by the Client, the Client shall pay the Provider for all services performed through the effective date of termination.

9.3 Termination for Cause

Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such breach within fifteen (15) days after receiving written notice thereof; (b) becomes insolvent, files for bankruptcy, or has a receiver appointed; or (c) engages in conduct that poses a risk to persons or property at the Property.

9.4 Effect of Termination

Upon termination of this Agreement: (a) the Provider shall cease all services and return all keys, access credentials, and Client property within two (2) business days; (b) the Client shall pay all undisputed amounts owed for services performed through the effective date of termination; and (c) the provisions of this Agreement that by their nature should survive termination shall continue in effect.


10. General Provisions

10.1 Independent Contractor

The Provider is an independent contractor and not an employee, agent, or partner of the Client. Nothing in this Agreement shall create an employer-employee, joint venture, or partnership relationship between the Parties.

10.2 Confidentiality

The Provider shall keep confidential all information obtained in the course of performing services at the Property, including but not limited to the Client's business operations, security procedures, alarm codes, and any other proprietary or sensitive information.

10.3 Governing Law

This Agreement shall be governed by the laws of the state in which the Property is located, without regard to its conflict of law principles.

10.4 Entire Agreement

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.

10.5 Amendments

This Agreement may be amended only by a written instrument signed by both Parties.

10.6 Severability

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

10.7 Counterparts

This Agreement may be executed in counterparts. Electronic signatures shall be deemed original signatures.


11. Signatures

IN WITNESS WHEREOF, the Parties have executed this Cleaning Services Agreement as of the date first written above.
