Home Renovation Agreement

This Home Renovation Agreement (the "Agreement") is entered into by and between homeowner_name (the "Homeowner") and contractor_name (the "Contractor"), collectively referred to as the "Parties."

WHEREAS, Homeowner owns the residential property located at property_address (the "Property"); and WHEREAS, Homeowner desires to engage Contractor to perform certain renovation work at the Property; and WHEREAS, Contractor is a licensed home improvement contractor qualified to perform such work; NOW, THEREFORE, the Parties agree as follows:


1. Scope of Work

1.1 Description of Work

Contractor shall perform the renovation work described in the attached Scope of Work document (Exhibit A) at the Property (the "Work"). The Scope of Work includes all labor, materials, equipment, and services necessary to complete the renovation as described therein. Any work not specifically described in Exhibit A is excluded from this Agreement unless added by written Change Order.

1.2 Plans and Design

The Work shall be performed in accordance with the plans, drawings, and specifications attached as Exhibit B (the "Plans"). If no formal plans are attached, the Work shall be performed in accordance with the written description in Exhibit A and any sketches or diagrams provided by the Parties. Contractor shall review all plans prior to commencing work and shall notify Homeowner of any concerns.

1.3 Materials

Contractor shall furnish all materials required for the Work unless specific materials are designated as Homeowner-furnished in Exhibit A. All Contractor-furnished materials shall be new, of good quality, and consistent with the specifications in the Plans. Contractor shall provide Homeowner with material selections and samples for approval before purchasing. Homeowner-furnished materials shall be delivered to the Property by the dates specified in the Schedule.

1.4 Permits

Contractor shall obtain all building permits and approvals required for the Work from applicable governmental authorities. Contractor shall schedule and attend all required inspections. The cost of permits is included in the Total Cost unless otherwise specified. Contractor shall provide Homeowner with copies of all permits and passed inspection reports.

1.5 Subcontractors

Contractor may use subcontractors for specialized portions of the Work (such as electrical, plumbing, and HVAC work), provided that all subcontractors are properly licensed and insured. Contractor shall be fully responsible for the quality of all subcontractor work and shall ensure that subcontractors comply with this Agreement.

1.6 Clean-Up

Contractor shall maintain the Property and work areas in a clean and orderly condition throughout the project. Construction debris shall be removed regularly. Upon completion of the Work, Contractor shall perform a thorough clean-up of all work areas, removing all debris, tools, equipment, and surplus materials, and leaving the Property in a broom-clean condition.

2. Schedule

2.1 Start Date

Contractor shall commence the Work on or about start_date (the "Start Date"), subject to the issuance of all required permits and the availability of Homeowner-furnished materials.

2.2 Project Schedule

Contractor shall provide Homeowner with a detailed project schedule within five (5) days of the Start Date, including estimated start and completion dates for each major phase of the Work. Contractor shall update the schedule regularly and promptly notify Homeowner of any delays.

2.3 Completion

Contractor shall use commercially reasonable efforts to complete the Work within the timeframe estimated in the project schedule. Delays caused by weather, material shortages, permit delays, Homeowner-requested changes, discovery of unforeseen conditions, or other events beyond Contractor's reasonable control shall extend the completion date accordingly.

2.4 Access

Homeowner shall provide Contractor with reasonable access to the Property during normal working hours (typically 8:00 AM to 6:00 PM, Monday through Friday, and 9:00 AM to 5:00 PM on Saturdays). Work on Sundays and holidays shall require Homeowner's prior approval. Homeowner shall ensure that utilities (water, electricity, gas) are available at the Property for Contractor's use during construction.

3. Contract Price and Payment

3.1 Total Cost

Homeowner shall pay Contractor the total sum of total_cost for the complete performance of the Work (the "Total Cost"). The Total Cost is a fixed price that includes all labor, materials, equipment, permits, and other expenses described in the Scope of Work.

3.2 Payment Schedule

The Total Cost shall be paid as follows: (a) ten percent (10%) upon execution of this Agreement as a deposit; (b) progress payments at milestones specified in the project schedule, based on percentage of work completed; and (c) the final ten percent (10%) upon Substantial Completion and Homeowner's final walkthrough approval. The specific payment milestones shall be detailed in Exhibit C.

3.3 Change Orders

Any changes to the Scope of Work requested by Homeowner or necessitated by unforeseen conditions shall be documented in a written Change Order signed by both Parties before the changed work is performed. Each Change Order shall specify the nature of the change, the impact on the Total Cost, and the impact on the schedule. Contractor shall not perform changed work without a signed Change Order.

3.4 Unforeseen Conditions

If Contractor encounters concealed or unforeseen conditions (such as mold, asbestos, structural damage, or plumbing/electrical deficiencies) that were not visible during the initial inspection and that require additional work, Contractor shall immediately stop work in the affected area and notify Homeowner in writing. Contractor shall provide Homeowner with an estimate of the additional costs and time required. Homeowner shall authorize the additional work in writing before Contractor proceeds.

3.5 Late Payments

Payments not made within ten (10) days of the due date shall accrue interest at one percent (1%) per month. If any payment is more than thirty (30) days overdue, Contractor may suspend the Work until payment is received. Suspension of work shall not affect the Total Cost or Contractor's right to payment.

4. Warranties

4.1 Workmanship Warranty

Contractor warrants that all Work shall be performed in a good and workmanlike manner, in accordance with applicable building codes and industry standards, and shall be free from defects in workmanship for a period of one (1) year from the date of Substantial Completion (the "Warranty Period"). If any defect in workmanship is discovered during the Warranty Period, Contractor shall promptly repair the defect at no cost to Homeowner.

4.2 Materials Warranty

Contractor warrants that all Contractor-furnished materials shall be new and free from defects for the Warranty Period. Contractor shall pass through to Homeowner all manufacturer warranties for materials and equipment installed as part of the Work. Contractor shall provide Homeowner with copies of all manufacturer warranty documents upon completion of the Work.

4.3 Warranty Exclusions

The warranties do not cover damage caused by: (a) Homeowner's misuse, neglect, or abuse; (b) normal wear and tear; (c) alterations or modifications made by anyone other than Contractor; (d) natural settling or movement of the structure; or (e) acts of God or other events beyond Contractor's control.

4.4 Warranty Claims

Homeowner shall notify Contractor in writing of any warranty claim within a reasonable time after discovering the defect. Contractor shall inspect the claimed defect within ten (10) business days of receiving notice and shall commence repairs within a reasonable time thereafter.

5. Insurance and Licensing

5.1 Contractor Insurance

Contractor shall maintain the following insurance during the performance of the Work: (a) general liability insurance with minimum limits of one million dollars ($1,000,000) per occurrence; (b) workers' compensation insurance as required by law; and (c) automobile liability insurance for all vehicles used in connection with the Work. Contractor shall provide Homeowner with certificates of insurance upon request.

5.2 Licensing

Contractor represents that it holds all licenses and registrations required by applicable law to perform the Work, including a valid home improvement contractor license. Contractor shall provide Homeowner with its license number and evidence of licensing upon request.

5.3 Homeowner's Insurance

Homeowner shall maintain homeowner's insurance on the Property during the renovation. Homeowner should notify their insurance company of the renovation work and obtain any additional coverage that may be required.

6. Indemnification

Contractor shall indemnify and hold harmless Homeowner from and against any claims, damages, losses, and expenses arising from: (a) Contractor's performance of the Work, including injuries to persons or damage to property; (b) Contractor's breach of this Agreement; (c) Contractor's failure to pay subcontractors or suppliers; or (d) liens filed against the Property as a result of Contractor's work.

Homeowner shall indemnify Contractor from claims arising from Homeowner's negligence or Homeowner's failure to disclose known hazardous conditions at the Property.

7. Liens

Contractor shall keep the Property free from all liens arising from the Work. Contractor shall promptly pay all subcontractors and suppliers. With each progress payment, Contractor shall provide Homeowner with lien waivers from Contractor and all subcontractors and suppliers for work covered by the previous payment. If any lien is filed against the Property, Contractor shall discharge the lien within fifteen (15) days at Contractor's expense.

8. Dispute Resolution

8.1 Negotiation

The Parties shall first attempt to resolve any dispute through good-faith negotiation.

8.2 Mediation

If negotiation is unsuccessful within fifteen (15) days, either Party may request mediation. The mediator shall be mutually agreed upon and costs shall be shared equally.

8.3 Arbitration

If mediation is unsuccessful within thirty (30) days, either Party may submit the dispute to binding arbitration in the county where the Property is located.

9. Right of Rescission

Homeowner shall have the right to cancel this Agreement within three (3) business days of execution, in accordance with applicable consumer protection laws. If Homeowner cancels within this period, Contractor shall refund any deposit paid, less the fair value of any work already performed or materials already ordered that cannot be returned.

10. Termination

10.1 Termination by Homeowner

Homeowner may terminate this Agreement at any time for any reason upon written notice. Homeowner shall pay for all Work completed and materials ordered through the date of termination, plus a reasonable termination fee not to exceed ten percent (10%) of the value of the remaining unperformed Work.

10.2 Termination for Cause

Either Party may terminate this Agreement if the other Party materially breaches and fails to cure within ten (10) days of written notice.

10.3 Effect of Termination

Upon termination, Contractor shall secure the Work in progress, remove tools and equipment, and leave the Property in a safe condition. Contractor shall provide Homeowner with all permits, inspection records, and documentation related to the Work completed.

11. General Provisions

11.1 Entire Agreement

This Agreement and attached exhibits constitute the entire agreement between the Parties.

11.2 Amendments

Amendments require a written Change Order or amendment signed by both Parties.

11.3 Governing Law

This Agreement shall be governed by the laws of the state in which the Property is located.

11.4 Severability

If any provision is held invalid, the remaining provisions continue in full force.

11.5 Notices

All notices shall be in writing and deemed given when delivered personally, by confirmed email, or by certified mail.

11.6 Counterparts

This Agreement may be executed in counterparts. Electronic signatures shall be deemed original signatures.
