Photography Contract
This Photography Contract (this "Agreement") is entered into by and between:
photographer_name (the "Photographer"); and
client_name (the "Client").
The Photographer and Client are each referred to herein as a "Party" and collectively as the "Parties."
1. Event Details

1.2 Coverage Time
The Photographer shall provide photography coverage for a total of _______ hours, beginning at approximately _______ and ending at approximately _______. The specific start and end times shall be confirmed by the Parties at least fourteen (14) days before the Event Date.
1.3 Key Events and Timeline
The Client shall provide the Photographer with a detailed timeline of key events, moments, and activities to be documented no later than fourteen (14) days before the Event Date. The timeline shall include, but is not limited to: ceremony or program start times, speeches and presentations, special activities or performances, group photo sessions, and any other specific moments the Client wishes to have photographed.
1.4 Location Access
The Client shall ensure that the Photographer has access to the Event Location and all relevant areas during the coverage period. If the Event Location requires permits, permissions, or advance arrangements for photography, the Client shall be responsible for securing such authorizations and shall provide copies to the Photographer at least seven (7) days before the Event Date.
1.5 Second Photographer
If a second photographer is included in this Agreement, the second photographer shall assist the primary Photographer during the coverage period. The primary Photographer shall be responsible for the selection, direction, and quality of work of the second photographer. 2. Deliverables
2.1 Number of Final Images
The Photographer shall deliver a minimum of _______ professionally edited final images from the event coverage. The actual number of final images may vary depending on the length of coverage, the nature of the event, and the number of photographable moments. The Photographer shall use professional judgment in selecting the best images for delivery.
2.2 Editing and Post-Processing
All delivered images shall be professionally edited and post-processed by the Photographer, including: (a) color correction and white balance adjustment; (b) exposure optimization; (c) cropping and straightening; (d) minor blemish removal (skin smoothing, stray hair removal); and (e) the Photographer's signature editing style. Extensive retouching (body reshaping, background removal, compositing) is not included in the standard package and may be requested at an additional fee.
2.3 Delivery Format
Final images shall be delivered in high-resolution JPEG format (minimum 300 DPI, suitable for printing) via an online gallery or digital download link. The Client shall also receive web-optimized versions suitable for social media use. RAW (unedited) files shall not be provided unless specifically agreed upon in writing and at an additional fee.
2.4 Delivery Timeline
The Photographer shall deliver the final edited images within six (6) weeks of the Event Date. The Photographer shall provide a sneak peek of ten (10) to twenty (20) edited images within five (5) business days of the Event Date. If the Photographer anticipates a delay in delivery, the Photographer shall notify the Client promptly.
2.5 Online Gallery
The Photographer shall host the final images in a password-protected online gallery for a period of ninety (90) days from the delivery date. The Client may download images directly from the gallery. After the ninety (90) day period, the gallery may be taken offline, and the Client shall be responsible for maintaining their own backup copies.
2.6 Prints and Albums
Prints, albums, and other physical products are not included in this Agreement unless specifically listed. The Photographer may offer prints and albums as additional products at prices listed on the Photographer's price sheet. The Client may order prints and albums through the Photographer's online gallery or directly from the Photographer.
3. Compensation
3.1 Total Fee
The total fee for the photography services described in this Agreement is total_fee (the "Total Fee"). The Total Fee includes the Photographer's time for the coverage period, travel to and from the Event Location (within the local metropolitan area), professional editing and post-processing, and digital delivery of final images.
3.2 Payment Schedule
Payment shall be made according to the following schedule: (a) a non-refundable retainer of fifty percent (50%) of the Total Fee is due upon execution of this Agreement to secure the Event Date; (b) the remaining fifty percent (50%) of the Total Fee is due no later than fourteen (14) days before the Event Date. Failure to make the final payment by the due date may result in the Photographer's cancellation of the booking.
3.3 Payment Methods
Payment may be made by check, credit card, electronic transfer, or other mutually agreed payment method. Checks shall be made payable to photographer_name. The Photographer shall provide an invoice for each payment.
3.4 Additional Charges
The following additional charges may apply: (a) travel beyond the local metropolitan area: mileage at the current IRS rate plus tolls, parking, and, if overnight travel is required, hotel and meal expenses; (b) overtime beyond the contracted coverage hours: $_______ per additional hour; (c) expedited delivery (within two weeks): $_______ surcharge; (d) extensive retouching: $_______ per image; and (e) additional print or album products at the Photographer's listed prices.
3.5 Sales Tax
Applicable sales tax, if any, shall be added to the Total Fee and any additional charges, as required by applicable state and local law.
4. Cancellation and Rescheduling
4.1 Cancellation by Client
If the Client cancels this Agreement, the following cancellation policy applies: (a) cancellation more than ninety (90) days before the Event Date: the retainer is forfeited, but no additional fees are due; (b) cancellation between thirty (30) and ninety (90) days before the Event Date: fifty percent (50%) of the Total Fee is due (including the retainer); (c) cancellation less than thirty (30) days before the Event Date: one hundred percent (100%) of the Total Fee is due.
4.2 Cancellation by Photographer
If the Photographer cancels this Agreement for any reason other than a force majeure event, the Photographer shall refund all payments received from the Client in full. The Photographer shall use commercially reasonable efforts to recommend an alternative photographer of comparable skill and quality. The Photographer's liability for cancellation shall be limited to the refund of payments received.
4.3 Rescheduling
If the Client needs to reschedule the Event Date, the Photographer shall make commercially reasonable efforts to accommodate the new date, subject to the Photographer's availability. Rescheduling requests made more than thirty (30) days before the original Event Date shall not incur additional charges, provided the Photographer is available on the new date. Rescheduling requests made less than thirty (30) days before the original Event Date may be subject to a rescheduling fee of $_______, and the Photographer's availability is not guaranteed.
4.4 Force Majeure
Neither Party shall be liable for cancellation or non-performance caused by circumstances beyond the Party's reasonable control, including but not limited to: natural disasters, severe weather, pandemic, government orders, civil unrest, or the Photographer's serious illness or injury. In the event of a force majeure cancellation, the Photographer shall refund all payments received, less reasonable expenses already incurred, and shall have no further liability to the Client.
4.5 No-Show
If the Client fails to appear at the Event Location at the scheduled time without prior notice, and the Photographer is present and available to perform, the Client shall forfeit the Total Fee. If the Client is delayed, the Photographer shall wait for up to one (1) hour and shall make reasonable efforts to contact the Client during this period.
5. Creative Control
5.1 Artistic Judgment
The Client acknowledges that photography is a creative art form and that the Photographer's work is an expression of the Photographer's artistic vision. The Photographer shall use professional judgment and artistic discretion in capturing, selecting, and editing images. The Photographer does not guarantee that every specific moment, person, or detail will be captured.
5.2 Shot List
The Client may provide a shot list of specific photos, groupings, or moments the Client wishes to have captured. The Photographer shall make reasonable efforts to fulfill the shot list but does not guarantee that every requested shot can be captured due to factors such as timing, lighting, cooperation of subjects, and event logistics. The shot list shall be provided at least fourteen (14) days before the Event Date.
5.3 Direction and Cooperation
The Client agrees to cooperate with the Photographer's reasonable directions during posed or group photo sessions. The Client shall encourage guests and event participants to cooperate with the Photographer. The Client understands that uncooperative subjects, poor lighting, or restricted access may affect the quality and variety of images.
5.4 Image Selection
The Photographer shall select the final images for delivery from the total images captured. The Photographer is not obligated to provide all images taken (including out-of-focus, duplicate, or technically inferior images). The Photographer's selection of final images is final.
5.5 Editing Style
The Photographer shall edit all images in the Photographer's established editing style, which the Client has reviewed and approved by entering into this Agreement. The Client may not request that the Photographer alter the editing style to match another photographer's work. Minor adjustments to exposure, color, and cropping may be requested.
6. Usage Rights and Copyright
6.1 Copyright Ownership
The Photographer retains full copyright ownership of all images created under this Agreement, in accordance with the United States Copyright Act. The Client receives a license to use the images as described in this Section but does not receive copyright ownership unless specifically agreed in writing.
6.2 Client License
The Photographer grants the Client a non-exclusive, perpetual, worldwide license to use the delivered images for personal, non-commercial purposes, including but not limited to: (a) personal prints and displays; (b) sharing on personal social media accounts; (c) personal digital use (screensavers, personal websites, holiday cards); and (d) gifting prints to family and friends.
6.3 Commercial Use
If the Client wishes to use the images for commercial purposes (including advertising, marketing, product packaging, editorial publication, or any revenue-generating activity), the Client must obtain a separate commercial license from the Photographer. Commercial licensing fees shall be negotiated on a case-by-case basis.
6.4 Credit and Attribution
When sharing images online (social media, websites, blogs), the Client shall make reasonable efforts to credit the Photographer by name or tag the Photographer's social media account. Photo credit is not required for personal prints or physical displays.
6.5 No Alteration
The Client shall not alter, edit, crop, apply filters, or otherwise modify the delivered images without the Photographer's prior written consent. This includes applying social media filters, converting to black and white (unless the image was delivered in black and white), or using AI tools to modify images. The Photographer's professional reputation is tied to the quality and consistency of the images.
6.6 Photographer's Portfolio Use
The Photographer retains the right to use any images created under this Agreement for the Photographer's portfolio, website, social media, marketing materials, display prints, competition entries, and educational purposes. If the Client has privacy or confidentiality concerns regarding specific images, the Client may request in writing that certain images not be used for portfolio purposes, and the Photographer shall make reasonable efforts to accommodate such requests.
7. Model Release
7.1 Client Model Release
By signing this Agreement, the Client grants the Photographer permission to use images containing the Client's likeness for the purposes described in Section 6.6 (portfolio, marketing, etc.). The Client may revoke this permission at any time by providing written notice to the Photographer.
7.2 Third-Party Releases
The Client is responsible for obtaining consent from event guests and participants who appear in photographs, if such consent is required for the Client's intended use of the images. The Photographer shall not be responsible for obtaining model releases from event guests.
7.3 Minors
If minors (persons under 18) are present at the event and may appear in photographs, the Client shall ensure that the parent or legal guardian of each minor has been notified and consents to being photographed. The Client shall hold the Photographer harmless from any claims arising from the photography of minors at the event.
8. Limitation of Liability
8.1 Equipment Failure
The Photographer shall use professional-grade equipment and shall carry backup equipment to the event. In the unlikely event of total equipment failure that prevents the Photographer from capturing images, the Photographer's sole liability shall be a full refund of all payments received under this Agreement.
8.2 Loss of Images
The Photographer shall take reasonable precautions to prevent the loss of digital images, including using dual memory card slots (if available) and making backup copies promptly. In the unlikely event that images are lost due to equipment failure, memory card corruption, or other technical issues beyond the Photographer's reasonable control, the Photographer's liability shall be limited to a refund of all payments received under this Agreement.
8.3 Limitation
THE PHOTOGRAPHER'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEE PAID BY THE CLIENT. IN NO EVENT SHALL THE PHOTOGRAPHER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING EMOTIONAL DISTRESS, LOSS OF MEMORIES, OR OTHER NON-ECONOMIC DAMAGES.
9. Dispute Resolution
Any dispute arising out of or relating to this Agreement shall first be addressed through good-faith negotiation between the Parties. If the dispute cannot be resolved through negotiation within thirty (30) days, the Parties agree to submit the dispute to mediation before a mutually agreed-upon mediator. If mediation is unsuccessful, either Party may pursue legal remedies in a court of competent jurisdiction.
10. General Provisions
10.1 Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior agreements, proposals, and understandings related to the photography services described herein.
10.2 Amendments
This Agreement may only be amended by written instrument signed by both Parties.
10.3 Governing Law
This Agreement shall be governed by the laws of the state in which the event takes place.
10.4 Severability
If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force.
10.5 Independent Contractor
The Photographer is an independent contractor and not an employee of the Client.
10.6 Counterparts
This Agreement may be executed in counterparts. Electronic signatures shall be deemed original signatures.
