Dear recipient_name,

This letter serves as formal written notice of termination of the agreement dated contract_date (the "Agreement") by and between sender_company and recipient_company. This notice is provided in accordance with the termination provisions set forth in the Agreement.

1.1 Reason for Termination

2. Final Compensation and Payment

2.2 Final Invoice

2.3 Prepaid Amounts

2.4 Disputed Amounts

Any disputes regarding outstanding payments must be raised in writing within fifteen (15) days of receipt of this notice. Undisputed amounts remain payable in accordance with the Agreement's payment terms.

3. Return of Property and Materials

3.1 Company Property

All property, materials, equipment, and assets belonging to either party that are in the possession of the other party shall be returned within fifteen (15) days of the termination date. This includes but is not limited to:

- Physical documents, files, records, and copies thereof;

- Electronic files, data, and software;

- Equipment, tools, devices, and access cards;

- Samples, prototypes, and promotional materials; and

- Any other tangible or intangible property belonging to the other party.

3.2 Confidential Information

In accordance with the confidentiality provisions of the Agreement, all confidential and proprietary information, including trade secrets, customer data, business plans, and technical specifications, shall be returned or securely destroyed within fifteen (15) days of the termination date. A written certification of destruction shall be provided upon request.

3.3 Access and Credentials

All access credentials, passwords, tokens, and permissions to the other party's systems, accounts, and premises shall be revoked or returned by the termination date. Each party shall cooperate in the orderly transfer and revocation of access.

4. Ongoing and Surviving Obligations

4.1 Confidentiality

The confidentiality provisions of the Agreement shall survive termination in accordance with the terms stated therein. Both parties remain bound by their obligations to protect the other party's confidential information for the period specified in the Agreement (or, if no period is specified, for a period of two (2) years following termination).

4.2 Non-Solicitation and Non-Competition

Any non-solicitation or non-competition provisions contained in the Agreement shall survive termination and continue to be enforceable for the duration specified therein.

4.3 Intellectual Property

All intellectual property provisions, including ownership of work product, license grants, and assignment of rights, shall survive termination. Work product created prior to the termination date and fully paid for shall be treated in accordance with the Agreement's intellectual property provisions.

4.4 Indemnification

Any indemnification obligations under the Agreement shall survive termination with respect to claims arising from events occurring prior to the effective date of termination.

4.5 Limitation of Liability

The limitation of liability provisions in the Agreement shall survive termination.

5. Work in Progress

7. Non-Disparagement

8. Release of Claims
